Sequoia Customer Terms of Service
Effective Date: June 26, 2025
Sequoia Benefits and Insurance Services, LLC ("Sequoia") has contracted with Found Health, Inc. to make available the Found Platform—including Found Wellness and Found Clinic—to its network of employer clients as part of the Sequoia Wellbeing Bundle Program.
These Terms of Service ("Terms") are entered into between you ("Customer"), meaning the employer organization participating in the Sequoia Wellbeing Bundle Program, and Found Health, Inc. ("Found") and its affiliated medical groups, including Pippen Health of Delaware, P.A., and any of its professional entities delivering services (collectively, "Found Health," "we," or "us").
Customer’s participation in the Sequoia Wellbeing Bundle Program includes access to Services offered by Found Health. These Terms set forth the terms and conditions governing the Services between Found and Customer, and those of Customer’s Eligible Members accessing the Platform.
By accessing or making available the Services to Eligible Members, Customer agrees to be bound by these Terms and ensures that Eligible Members are informed of, and where applicable agree to, the supplemental terms referenced below.
1. Services
Found Health provides technology-enabled Services and its accompanying Platform, in the following offering types:
- Found Wellness: lifestyle coaching, educational content, and access to Found's digital platform; and/or
- Found Clinic: telehealth obesity care and treatment by licensed clinicians, which may include prescriptions for weight-related medications if clinically appropriate.
2. Eligibility and Enrollment
Eligible Members may include Customers’ employees and the spouses and dependents of such employees (collectively, “Eligible Members”), or as otherwise agreed upon between Sequoia and Customer. Unless stated otherwise, an Eligible Member becomes an “Active Participant” upon enrollment in either Found Wellness or Found Clinic until the individual is no longer engaged based on monthly activity. Examples of engagement for purposes of determining monthly activity include interactions with a Clinician or registered nurse, meeting with the care team (e.g., health coaching team), or other active engagement with the Platform (e.g., community activity, outcomes logging, etc.). An Active Participant that does not engage for a period of three (3) consecutive months or greater will no longer be considered an Active Participant.
The Customer acknowledges that the Terms apply upon participation in the Sequoia Wellbeing Bundle Program and agrees to inform its Eligible Members of the following supplemental terms, as applicable:

- Privacy Policy
- State Privacy Law Addendum
- SMS Terms
3. Clinical Services
All clinical services are provided by independently licensed medical groups and providers. Found does not provide medical care. All decisions about treatment, including prescribing, are made at the sole discretion of the treating provider.
Certain prescriptions (e.g., GLP-1s) are not included in the cost of the Services. If prescribed, they may be filled by a pharmacy of the Eligible Member’s choice, subject to insurance coverage, clinical eligibility, and provider discretion.
4. Fees and Billing
Sequoia or the Customer may pay to Found the Services fees on behalf of its Eligible Members. No fees are directly charged to Eligible Members unless:
- They elect to purchase additional services outside the covered program; or
- They incur pharmacy costs for medications not included in the Found program.
5. Term and Termination
Each Customer’s participation in the Found program shall be subject to a respective launch date when Platform access begins, irrespective of individual Eligible Member sign-up (the “Launch Date”). The Term will begin on the applicable Launch Date and continue for an initial period of twelve (12) months (“Initial Term”). Thereafter, the term will automatically renew for successive one (1) year periods unless either party provides sixty (60) days’ written notice of non-renewal (each, a “Renewal Term”, collectively the “Term”).
Following the Initial Term, either Found or the Customer may terminate for convenience with thirty (30) days’ prior written notice. In the event of termination, Found shall provide reasonable assistance to support the Customer’s Eligible Members transition to other clinical care and, if applicable, allow continued access for Eligible Members to the Services at then-current direct-to-consumer pricing.
6. Disclaimers
THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, FOUND MAKES NO WARRANTY THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET CUSTOMER’S OR ELIGIBLE MEMBERS’ EXPECTATIONS OR OBJECTIVES.
FOUND DOES NOT GUARANTEE ANY PARTICULAR HEALTH OUTCOME OR WEIGHT LOSS RESULT. ALL CLINICAL SERVICES ARE PROVIDED EXCLUSIVELY BY INDEPENDENT LICENSED HEALTHCARE PROVIDERS AFFILIATED WITH FOUND’S MEDICAL GROUPS. FOUND IS NOT ENGAGED IN THE PRACTICE OF MEDICINE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUND DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS, OR CONDUCT OF SUCH INDEPENDENT PROVIDERS, AS WELL AS FOR ANY THIRD-PARTY CONTENT, TOOLS, OR SERVICES ACCESSED THROUGH THE PLATFORM.
7. Privacy and Data Use
Use of data is governed by our Privacy Policy, and Notice of Privacy Practices. Found maintains commercially reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of information provided through the Platform. Found reserves the right to de-identify and aggregate data for analytics, product development, and business purposes consistent with its policies above.

9. Updates to These Terms
We may update these Terms from time to time. Material changes will be communicated via email and/or through the Found Platform. Customer’s continued participation in the program after any such update will be deemed full and binding acceptance of the updated Terms.
10. Governing Law
These Terms shall be governed by, and any disputes arising under them shall be resolved in accordance with, the governing law and dispute resolution provisions set forth in the agreement between Sequoia and the applicable Customer.
11. Acknowledgment
By enrolling in the Sequoia Wellbeing Bundle Program and offering the Services to Eligible Members, Customer agrees to these Terms and confirms that it has the authority to bind itself to these terms.
12. Other Terms
Capitalized terms used but not defined in these Terms shall have the meaning given to them in the PARTNER WELLNESS PROGRAM AGREEMENT between Found and Sequoia governing the Sequoia Wellbeing Bundle Program (the “Sequoia Program Agreement”). For purposes of these Terms, “Platform” means Found’s proprietary digital interface (including web and mobile applications) through which Eligible Members can access Found Services, including related tools, resources, content, and communications.
